Board Subcommittees
FilmL.A. is governed by an all-volunteer 24-member board of directors that meets quarterly to hear reports from its executive committee and the chairs of its five active subcommittees. Board members who serve on subcommittees meet regularly to monitor our operations, finances and community relations efforts. At each subcommittee chair's discretion, non-board members with subject-matter expertise can be invited to serve as voting members on board subcommittees, which aids in the recruitment of new board talent and affords an additional layer of supervision and oversight.
Executive Committee
The executive committee oversees the day-to-day policy direction of the company, making decisions based on the recommendations of the board's other subcommittees. The executive committee has the power to act on the board's behalf whenever the board is not in session. In recognition of the committee's influence and decision-making authority, we voluntarily make available for public viewing the minutes of its quarterly meetings.The executive committee is comprised of up to ten members. The board's five officers all serve on the committee, as does the chair of the audit subcommittee, the immediate past chair of the board and up to three members-at-large. Members are nominated by the nominating subcommittee and appointed by the board, and must be chosen to maintain the greatest possible diversity among the board's entertainment industry and community stakeholders.
Audit Subcommittee
Unlike many other nonprofit companies its size, FilmL.A. operates with an exceptional degree of financial transparency and accountability. Every few years, our audit subcommittee uses a competitive bidding process to hire a new external auditing firm to annually review our financial records. The subcommittee remains engaged throughout each year's audit process by scrutinizing the audit results and monitoring both employee and officer compliance with our code of ethical conduct and conflict of interest policies. Rounding out its list of important powers, the subcommittee has the authority and access to capital to investigate suspected malfeasance on the part of any of our officers or employees.Five board members currently serve on the audit subcommittee. For 2012, the subcommittee is chaired by Jean Prewitt.
Community Relations & Communications Subcommittee
The community relations and communications subcommittee receives reports relative to filming activities in the region and suggests ways to help neighborhoods that are impacted by filming. Part of this is accomplished through periodic reviews of internal operating protocols as they relate to serving community stakeholders. This subcommittee is also charged with coordinating our internal and external communication efforts, and identifying new opportunities for stakeholder outreach.At twelve members, half of whom are stakeholders from outside the board, this is among our most diverse and active subcommittees. For 2012, the subcommittee is chaired by Lisa Rawlins.
Finance Subcommittee
The finance subcommittee meets quarterly to review financial and operating reports, monitor implementation of recommendations made in annual audit reports and make recommendations regarding specific customer/client invoicing, credit and collections situations. Once per year, the subcommittee assists with annual financial planning and works in conjunction with staff to prepare and submit an operating budget for consideration by the board.Six board members currently serve on the finance subcommittee. For 2012, the subcommittee is chaired by Mike Miller.
Nominating & Board Development
The nominating and board development subcommittee is charged with identifying, interviewing and nominating individuals to fill open board positions, as well as recommending qualified subject matter experts from outside the board for subcommittee service. Each December, the subcommittee also conducts the board's annual election of new directors and officers.Five board members currently serve on the nominating and board development subcommittee. For 2012, the subcommittee is chaired by Barry Greenberg.
Operations Subcommittee
The operations subcommittee meets quarterly with our staff to receive reports relative to filming in the region, discuss changes in filming location availability, and monitor government actions related to filming. Its members also handle internal staff administration and participate in the development of new operating protocols and technologies.Four of the six total members serving on this subcommittee are industry representatives from outside our board. For 2012, the subcommittee is chaired by Ed Duffy.
